Interpretation Definitions
UKCIL Ltd means: Us, the company, UKCIL Ltd, registered in England under number 11403726, with its registered office at 11-14 Cannon Street, Birmingham, B2 5EN.
UKCIL User means: A single account of any user, of any type, who has access to the UKCIL portal, either by registering themselves, or having been registered by a Support Organisation.
Support Organisation(s) (SO’s) means: local authorities, councils, county councils, ICBs, NHS trusts, charities, benefit corporations, independent living organisations or private companies who are responsible for providing support & services to service users who use UKCIL.
Service User or Employer means: The single person for whom PA support is required, and / or the recipient of Direct Payments or Personal Care Budgets from the local authority or NHS Trust, if not privately funded.
Account Manager, Contracting Party means: The person who manages the UKCIL account, for the Service User. This may be the Service User themselves.
Subscriptions means: The annual service charge paid for by the User or Supporting Organisation.
Candidate(s), PA(s) or Applicants means: Users offering their services as a Personal Care Assistant.
By accessing UKCIL, you agree to abide by these Terms of Service and to comply with all applicable laws and regulations. If you do not agree with these Terms of Service, you are prohibited from using or accessing this website or using any other services provided by UKCIL Ltd.
We, UKCIL Ltd, reserve the right to review and amend any of these Terms of Service at our sole discretion. Upon doing so, we will update this page. Any changes to these Terms of Service will take effect immediately, from the date of publication.
Licence to use The Service
We hereby grant to you a non-exclusive, non-transferable and revocable licence to access and use UKCIL, subject to the terms of your UKCIL Management Suite fee or subscription.
We may at any time, for operational reasons and without liability, change the technical specification of the Service or suspend the whole or any part of the Service.
Intellectual Property
The intellectual property in the materials contained in this website are owned by or licensed to UKCIL Ltd and are protected by applicable copyright andtrademark law.
Your Data
In order to use the Service, UKCIL Users may be required to provide information about themselves or Service Users they manage, as part of the registration process, or as part of your continued use of the Service. Any information you give to us must be accurate.
We process information about Service Users in accordance with our Privacy & Data Management and Cookies Policy. By using the Service, you consent to such processing and confirm your authority to give such consent on behalf of yourself, or your Service User(s), account managers and SO users.
For Service Users or Employers, your data will be visible to your Supporting Organisation’s users, if:
1. Your account was set up by your Supporting Organisation; or
2. You selected a Supporting Organisation other than UKCIL, during your account registration process.
For Candidates, your profile will be visible to potential employers, however your contact details will only be shared after one of the following takes place:
1) Your application has been shortlisted by an Employer or SO; or
2) You have accepted an invitation to apply for a vacancy.
We may monitor your use of the Service in order to maintain the integrity of the services, protect the interests of UKCIL Users and improve the Service overall.
Your Undertakings
If you are a Service User, SO Account Manager or Candidate:
You are an individual, or responsible for a single individual (per subscription & Service User account), and that you are using the Service to recruit PA Staff solely for that single Service User, or you are a Candidate looking for a job for yourself.
Specifically, you are not acting as, or as an agent of, or affiliated with any organisation; nor are you privately involved with the recruitment of personal assistants, care workers, healthcare workers, nurses and those in similar fields, whether you are compensated or not,
If found to be sourcing candidates or Service Users from the site, you agree to pay a general access fee of £5,000+VAT per month for the duration your account has been active.
All UKCIL Users:
You will take reasonable steps to ensure that:
(i) You comply with these terms
(ii) All information that you upload to UKCIL is accurate; and
(iii) Nnobody other than you accesses the Service, with your account details.
You must not use the Service in any way which is, or is likely to be, detrimental to the provision of the Service to you or any of our other UKCIL Users, or to our business or reputation or in contravention of any general policies and fair usage limits issued from time-to-time by us or in any way that does not comply with any instructions provided to you.
You must:
a. Not sublicense, resell or offer in any manner, to a third party, the Service or use of or access to the Service.
b. Not interfere with or disrupt the Service or server or network connected to the Service.
c. Not attempt to gain unauthorised access to other computer systems or networks connected to the Service.
d. Not use the Service to promote any website, candidate or vacancy which contains content which is illegal or unlawful including content which is defamatory of any person, or which infringes the intellectual property rights of any person, or which promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation or age; and
e. Not use the Service in any way that is unlawful or fraudulent or has any unlawful or fraudulent purpose or effect.
f. Not disclose the contact details of any Candidate to anyone other than the Service User who has shortlisted that candidate.
g. To protect you, and your data, you must comply with our guidelines and omit or include details in the appropriate sections of UKCIL. Full guidance is available in the tool and in the FAQs. Further support is available from the helpdesk. Failure to comply with this could lead to your details being made public.
Accuracy of Materials
The materials appearing on our website are not comprehensive and are for general information purposes only. UKCIL Ltd does not warrant or make any representations concerning the accuracy, likely results or reliability of the use of the materials on this website, or otherwise relating to such materials or on any resources linked to this website.

UKCIL Ltd has not reviewed all of the sites linked to its website blog and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement, approval or control by UKCIL Ltd of the site. Use of any such linked site is at your own risk and we strongly advise you make your own investigations with respect to the suitability of those sites.
Severance
Any term of these Terms of Use which is wholly or partially void or unenforceable is severed to the extent that it is void or unenforceable. The validity of the remainder of these Terms of Use is not affected.
Liability
Our website and the materials on our website are provided on an 'as is' basis. To the extent permitted by law, UKCIL Ltd makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property, or other violation of rights.
In no event shall UKCIL Ltd or its suppliers be liable for any consequential loss suffered or incurred by you or any third party arising from the use or inability to use this website or the materials on this website, even if UKCIL Ltd or an authorised representative has been notified, orally or in writing, of the possibility of such damage.
In the context of this agreement, “consequential loss” includes any consequential loss, indirect loss, real or anticipated loss of profit, loss of benefit, loss of revenue, loss of business, loss of goodwill, loss of opportunity, loss of savings, loss of reputation, loss of use and/or loss or corruption of data, whether under statute, contract, equity, tort (including negligence), indemnity or otherwise.
Service Users: UKCIL explicitly makes no recommendations, warranties, expressed or implied, and hereby disclaims and negates all other recommendations, warranties including, without limitation, implied warranties or conditions of the suitability, or fitness for any particular vacancy, of any candidate. It is the sole responsibility of the Service User and / or their Account Manager and / or Supporting Organisation user, if working with a Supporting Organisation, to ascertain the suitability of any candidate on UKCIL, by conducting interviews, taking references, conducting Disclosure and Barring services checks, and / or any other methods they deem necessary before inviting to an Applicant to interview in-person and before entering into any contract of employment with any Applicant.
Candidates: UKCIL explicitly makes no recommendations, warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of the suitability, or fitness of any particular vacancy and/or employer, it is sole responsibility of the Candidate to assess the suitability of any role offered by a Service User, Employer their Account manager or Supporting Organisation for their own particular circumstances and to carry whatever checks they deem necessary, for example, but not limited to, verifying the employers’ liability insurance.
Right to Terminate
We may suspend or terminate your right to use our website and terminate these Terms of Service immediately upon written notice to you for any breach of these Terms of Service.
You will not be entitled to a refund, in part or whole, of any fees, subscriptions or charges paid, and may still be liable for any fees, subscriptions or charges still due.
Governing Law
These Terms of Service are governed by and construed in accordance with the laws of England & Wales. You irrevocably submit to the exclusive jurisdiction of the courts in that state or location.
